Convoe Terms of Service: All-in-One Collaboration Platform Agreement

1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Convoe Pty Ltd (ABN to be registered), a company registered in Australia (“Convoe”, “we”, “us”, or “our”).
By accessing or using Convoe, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service.
2. Description of Service
Convoe is a team collaboration platform that provides chat, task management, calendar, and AI assistant features. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with reasonable notice where practicable.
3. Account Registration
To use Convoe, you must:
- Be at least 16 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised access to your account
- Accept responsibility for all activities that occur under your account

You agree not to:
- Violate any applicable Australian or international laws or regulations
- Infringe on intellectual property rights of others
- Transmit harmful, offensive, or malicious content
- Attempt to gain unauthorised access to our systems or other users' accounts
- Use the service for spam, harassment, or unlawful purposes
- Resell or redistribute the service without our written permission
- Interfere with or disrupt the integrity or performance of the service
5. Your Content
You retain all ownership rights in the content you create, upload, or share through Convoe (“Your Content”). By using our service, you grant us a non-exclusive, worldwide, royalty-free licence to store, process, and display Your Content solely as necessary to provide and improve the service.
You represent and warrant that you have all necessary rights to share Your Content and that it does not violate any third party's rights or applicable laws.
6. Payment Terms
For paid subscription plans:
- Fees are billed in advance on a monthly or annual basis in Australian Dollars (AUD)
- All prices are inclusive of GST where applicable
- Refunds are provided in accordance with Australian Consumer Law
- We may change our pricing with at least 30 days' notice
- Failure to pay may result in suspension or termination of your account
7. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to:
- Cancel your service contract with us
- A refund for the unused portion of your subscription
You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time.
8. Termination
We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. You may cancel your account at any time through your account settings or by contacting us.
Upon termination, your right to use the service ceases immediately. We will retain your data for 90 days, during which you may request an export. After this period, your data will be permanently deleted.
9. Disclaimer of Warranties
To the maximum extent permitted by law, and subject to your rights under Australian Consumer Law:
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
10. Limitation of Liability
To the maximum extent permitted by law, and subject to your rights under Australian Consumer Law:
CONVOE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Convoe and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.
12. Changes to Terms
We may modify these Terms at any time. We will provide you with reasonable notice of any material changes via email or through a prominent notice in our service. Your continued use of Convoe after such changes constitutes your acceptance of the new Terms.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for any disputes arising from these Terms or your use of the service.
Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Competition and Consumer Act 2010 (Cth) or any other applicable Australian consumer protection legislation.
14. Dispute Resolution
If you have a dispute with us, we encourage you to contact us first at legal@convoe.com so we can try to resolve it directly. If we cannot resolve the dispute informally, you may pursue your rights through applicable Australian consumer protection channels or the courts.
